Terms of Service

Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the Uverus Payments platform, APIs, hosted checkout, payment links, product storefronts, and all related services (collectively, the "Services") provided by Uverus Payments Ltd ("Uverus", "we", "us", or "our").

By registering for an account, accessing the dashboard, or using any part of the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, do not use our Services.


Eligibility and account registration

To use our Services, you must:

  • Be at least 18 years of age
  • Be a registered business entity or sole trader operating in Nigeria or another supported jurisdiction
  • Provide accurate and complete information during registration and keep it updated
  • Complete our KYC process before processing live transactions

You are responsible for maintaining the confidentiality of your account credentials and API keys. You must notify us immediately if you suspect unauthorised access to your account.


Use of the Services

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services for any fraudulent, deceptive, or illegal activity
  • Process payments for prohibited goods or services (see Section 4)
  • Attempt to circumvent our fraud detection, rate limiting, or security controls
  • Reverse engineer, decompile, or extract source code from our platform
  • Resell, sublicense, or white-label our Services without our prior written consent
  • Use our Services in a way that could impair, overburden, or damage our infrastructure
  • Misrepresent yourself, your business, or the nature of transactions to customers

Prohibited businesses and activities

You may not use Uverus Payments to process transactions related to:

  • Illegal drugs, controlled substances, or drug paraphernalia
  • Weapons, ammunition, or explosive devices
  • Child sexual abuse material or any content that exploits minors
  • Unlicensed financial services, Ponzi schemes, or pyramid schemes
  • Gambling or betting services, unless you hold the required regulatory licence
  • Counterfeit goods or services that infringe third-party intellectual property rights
  • Any activity that violates applicable Nigerian law or the laws of any applicable jurisdiction

We reserve the right to refuse, suspend, or terminate your account if we determine that you are operating in a prohibited category.


Fees and settlement

Our fees are published on our Pricing page and may be updated from time to time. Continued use of the Services after a fee change takes effect constitutes acceptance of the new fees.

Settled funds are credited to your Uverus wallet. You may initiate payouts to a registered bank account at any time, subject to any applicable processing windows and minimum balance requirements.

We reserve the right to withhold settlement if we have reasonable grounds to suspect fraud, chargebacks in excess of acceptable thresholds, or a violation of these Terms.


KYC and compliance

All merchants must complete our KYC process before processing live transactions. You agree to:

  • Submit accurate and genuine business documents, including your CAC certificate, Memorandum of Association, proof of address, and any other documents we request
  • Notify us promptly of any material changes to your business structure, ownership, or the nature of your business
  • Cooperate with any enhanced due diligence requests

We comply with applicable anti-money laundering (AML) and know-your-customer (KYC) regulations in Nigeria. We may report suspicious activity to relevant authorities as required by law.


API and developer terms

If you access our Services via API, you additionally agree to:

  • Keep your secret API keys confidential and never expose them in client-side code
  • Verify HMAC signatures on all incoming webhook payloads before processing them
  • Implement idempotent handling of webhook events
  • Use our sandbox/test mode for development and testing — do not use live credentials for testing
  • Comply with any rate limits applied to your account

We reserve the right to rotate or revoke API keys if we detect abuse or a security incident.


Chargebacks and disputes

You are responsible for resolving customer disputes in good faith. Excessive chargeback rates may result in account suspension or termination and the imposition of a rolling reserve.

We will notify you of any chargebacks received. You may provide evidence to contest a chargeback within the timeframe specified in our notification. We cannot guarantee the outcome of any chargeback dispute.


Limitation of liability

To the fullest extent permitted by law, Uverus Payments shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption.

Our total liability to you for any claim arising from your use of the Services shall not exceed the fees paid by you to Uverus in the three (3) months preceding the claim.


Suspension and termination

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate any provision of these Terms
  • We are required to do so by law or a regulatory authority
  • We have reason to believe your account poses a fraud or security risk
  • You become insolvent or subject to insolvency proceedings

You may close your account at any time by contacting us. Upon termination, any settled funds in your wallet will be paid out to your registered bank account after a standard holding period.


Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email and via a notice in your dashboard at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.


Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
